Terms of Service

By accessing our website (taghyeer.ai), contacting us for services, signing a project agreement, or otherwise engaging with Taghyeer Information Technologies, you agree to be bound by these Terms of Service.

These Terms, together with any project-specific Statement of Work (SOW) or Service Agreement, form the entire agreement between you and Taghyeer Technologies. If you do not agree with any part of these Terms, please do not use our services.

Taghyeer Information Technologies is a software engineering company based in Dhaka, Bangladesh. We provide the following professional services:

• Custom web application development (front-end, back-end, full-stack)
• Mobile application development (iOS, Android, cross-platform)
• UI/UX design and product design
• Cloud infrastructure setup, DevOps, and managed services
• AI/ML integration and data engineering
• Digital consulting and technology strategy

Specific deliverables, timelines, pricing, and technical requirements for each engagement are defined in a mutually agreed-upon Statement of Work (SOW) or project agreement.

To enable successful project delivery, you agree to:

• Provide accurate, complete, and timely information, assets, and feedback as required for the project.
• Designate an authorized point of contact for project communications.
• Review and approve deliverables within agreed timeframes. Failure to respond within the agreed review period may be treated as approval.
• Ensure that any content, data, or materials you supply do not infringe third-party intellectual property rights.
• Not use our services for any unlawful, fraudulent, or harmful purpose.
• Keep access credentials (logins, API keys, etc.) secure and confidential.

4.1: Client-Owned Deliverables

Upon receipt of full payment for a project, Taghyeer Information Technologies assigns to the client all intellectual property rights in the custom deliverables created specifically for that project, as specified in the applicable SOW.

4.2: Taghyeer Information Technologies IP

We retain ownership of all pre-existing tools, frameworks, libraries, methodologies, and proprietary code developed by Taghyeer Information Technologies independently of the client engagement. Where such components are incorporated into deliverables, we grant the client a perpetual, non-exclusive, royalty-free licence to use them solely within the delivered product.

4.3: Third-Party Open Source

Deliverables may incorporate open-source software. The client is responsible for complying with applicable open-source licence terms. We will disclose significant open-source components used in deliverables.

4.4: Portfolio Rights

Unless expressly prohibited in writing, Taghyeer Information Technologies reserves the right to reference the client and project (without disclosing confidential information) in our portfolio, case studies, and marketing materials.

Both parties acknowledge that, during the engagement, they may share confidential information. Each party agrees to:

• Keep confidential information strictly private and not disclose it to any third party without prior written consent.
• Use confidential information solely for the purposes of the project.
• Limit access to employees or contractors who need to know and are bound by equivalent confidentiality obligations.
• Notify the other party promptly upon discovering any unauthorized disclosure.

These obligations remain in effect for 2 years after the project ends, unless otherwise agreed in writing.

1. 1Invoicing: Invoices are issued as specified in the project SOW — milestone-based, monthly retainer, or upon completion.
2. 2Payment Due: All invoices are due within 7 days of the invoice date unless otherwise agreed in writing.
3. 3Late Payment: We reserve the right to pause work on overdue accounts until the outstanding balance is settled.
4. 4Currency: All amounts are in USD unless otherwise specified. International transfer fees are the responsibility of the client.
5. 5Taxes: Prices are exclusive of applicable taxes. The client is responsible for any withholding or local taxes on their end.
6. 6Refunds: Payments for completed milestones and approved deliverables are non-refundable.

Taghyeer Information Technologies commits to performing all services in a professional and skilled manner, consistent with industry standards.

Beyond that, our website and services are provided "as is" and "as available." We do not make any additional warranties — express or implied — including warranties of fitness for a particular purpose or uninterrupted availability.

We do not guarantee specific business results from the use of our deliverables.

To the extent permitted by law, Taghyeer Information Technologies is not liable for any indirect or consequential losses — such as loss of revenue, data, or business opportunities — arising from the use of our services.

Our total liability to you, for any reason, will not exceed the total amount you paid to Taghyeer Information Technologies in the three months before the issue arose.

Either party may end a project engagement by giving written notice as specified in the SOW. If no notice period is defined, 30 days' written notice is required.

Upon termination, you agree to pay for all work completed and expenses incurred up to the end date. We will deliver all completed work once payment is received.

We may suspend or end access to our services immediately if you violate these Terms, fail to pay, or engage in illegal activity.

These Terms are governed by the laws of Bangladesh.

If a dispute arises, both parties agree to first try to resolve it through direct, good-faith discussion. If no resolution is reached within 30 days, the matter will be referred to an appropriate legal forum in Bangladesh as mutually agreed upon.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page.

Continued use of our website or services after changes are posted means you accept the updated Terms. Changes will not affect any active project SOW unless both parties agree in writing.
